This statement outlines the basic policies of the Universal To The Trade program. Our priority is to provide a superior product and excellent customer service within reasonable means and industry standards.

• Unless otherwise specified and/or approved, all orders will be inclusive of freight and sold FOB: Receiving Warehouse Dock. Universal will designate the transportation carrier for this program and reserves the right to utilize another carrier at any time.
• All shipments will be made to a commercial receiver with a receiving dock during regular business hours unless otherwise pre-arranged/pre-approved. Universal Furniture and the transportation carrier will not be responsible if the receiving warehouse is unable to accept a delivery during normal business hours and/or during a scheduled delivery time. Any additional costs that result from delivery delays caused by the receiving warehouse will be the responsibility of the participant.
• It is the responsibility of the participant to secure and maintain a professional relationship with a receiving warehouse. Participants will be responsible to inform and work with their receivers within the policies and procedures outlined herein. Universal Furniture and the transportation carrier will not be responsible for delivery issues that are a result of any disagreement or dispute between the participant and the receiving warehouse. Universal reserves the right to apply fees for any un-authorized refusal of shipments.
• All cartons should be inspected for visible damage upon delivery to the receiving warehouse, with written notification of such on the signed bill of lading. Claims for visible or concealed freight damage should be reported to Universal's claims department immediately. Universal will file all freight claims within 30 days of delivery with the transportation carrier. It is recommended that you and/or your receiver inspect all products during this time frame to ensure that any concealed damage due to handling will be covered. Universal Furniture and the transportation carrier will make the determination as to whether freight is involved. It is the responsibility of the participant to keep the original shipping carton for the inspection by carrier if requested. If claims that are determined to be freight related are not made within 30 days, Universal will be not be responsible for financial compensation and will be limited in any assistance to resolve the problem.
• Any costs associated with the normal "deluxing" of the product will be the responsibility of the participant. This will include assembly, cleaning, dusting and polishing, attaching or adjusting hardware and leveling the product. Itis recommended that deluxing activities be completed prior to delivery to your consumer or end user.
• Universal Furniture International, Inc. warrants its products against defects in materials and workmanship to the original purchaser for a period of one year from the date of the original purchase. Claims that fall beyond the warranty period will only be reviewed for known issues when submitted with a photograph of the production label.
• Defective product claims, which are not freight related, covered under Universal Furniture Limited Warranty will be addressed in the following manner:
  1. Universal will determine if the product can be repaired and will arrange for said repairs, providing parts at no cost to the participant. Repair work that is not arranged by Universal should be paid for by the participant and may be submitted for reimbursement. All repairs that are anticipated to exceed $100 should be pre-approved by Universal prior to the work actually being completed if the participant is seeking reimbursement. Universal will only directly pay repair providers that have been arranged or scheduled by Universal.
  2. Universal may offer the participant an allowance credit to keep and use or re-sell the product "as is". This allowance credit will be in lieu of any repairs and Universal will not reimburse for repairs when an allowance credit has been granted.
  3. Universal will send the participant a no-charge replacement product to the receiver warehouse OR offer a full credit or refund in lieu of replacement. Universal is not responsible for extended storage costs, travel time charges from a repair company, delayed delivery or re-delivery fees, so it is recommended all items be inspected immediately upon receipt.
• All of the above options for resolution will be determined in consultation with Universal Furniture based on all facts involved following Universal Furniture Limited Warranty.
• All orders, once shipped, are final and non-cancelable. Any shipment refused for reasons other than visible freight damage will be subject to a re-stocking fee.
• A participant may withdraw their participation in this program at any time. Universal may terminate a participant's participation in this program at any time.
• These terms and conditions are subject to change at any time and Universal will communicate any changes to participant.

Signature of company Principle indicates agreement to all terms and conditions noted above and confirmation of review of Universal Furniture - Express Limited Warranty.
